Welcome to Benjamin Bowers, LLC. These Terms of Service govern wholesale purchases of our custom products. By placing an order you agree to these Terms.
1. Wholesale terms and minimums
1.1 All wholesale purchases are subject to minimum order requirements. Current guidelines: hats 50 units. polos 100 units. quarter zips 50 to 100 units. other items vary by program and will be confirmed on your quote.
1.2 Pricing is exclusive of taxes, tariffs, duties, and any governmental charges unless stated otherwise in writing.
1.3 Quotes are valid for 14 days unless stated otherwise in writing.
2. Payment terms
2.1 Pay in full to enter production. Lead times begin only after both payment and proof approval.
2.2 We accept card, ACH, and wire. Tax exempt orders require valid documentation before payment.
2.3 Alternate payment arrangements may be offered by Benjamin Bowers in a signed writing. If provided, the written terms control for that order.
3. Design, proofs, and sample
3.1 You will receive branded digital mockups for review.
3.2 One physical pre production sample is created and shared with photos for approval.
3.3 After you approve the pre production sample, no design or specification changes can be made. Production timelines start only after sample approval and full payment.
4. Production timeline
4.1 Typical production time is 35 to 40 business days. This is an estimate and not a guarantee.
4.2 Any stated ship or delivery date is an estimate. Timeline commitments apply only if confirmed by Benjamin Bowers in writing and are contingent on timely approvals and payment.
5. Shipping, risk of loss, and customs
5.1 We offer standard and rush shipping options. First time customers receive 50 percent off standard shipping unless stated otherwise in writing.
5.2 Title and risk of loss transfer to the Customer when the order is tendered to the carrier at our shipping point. We provide tracking and reasonable assistance with carrier issues.
5.3 Customs, duties, tariffs, import taxes, brokerage, and related fees are the Customer’s responsibility. If assessed, these amounts must be paid in full before release or delivery.
5.4 Benjamin Bowers is not responsible for delays caused by carriers, customs, or import processing. Customs or carrier delays do not entitle cancellation, refusal of delivery, or damages.
6. Returns, claims, and quality
6.1 Custom products are final sale.
6.2 If an item arrives with a defect, contact us within 7 calendar days of delivery and include your order number, photos, and a description of the issue. We will remake or credit the affected items based on your timeline.
6.3 Defects include wrong artwork, decoration outside normal placement tolerances, material flaws, or counts that fall outside the variance in Section 7. Color shown on screens or from nonvector art may differ from final goods and is not a defect. Normal wear and tear is not covered.
7. Order count variance
7.1 Manufacturing can produce a small overage or shortage per size or color. A variance of up to 5 percent is considered normal. We order extra units when practical to help minimize shortages.
7.2 If we ship fewer units than ordered within this variance, we will issue a pro rata credit or, if your timeline allows, produce a fast remake to close the gap.
7.3 If we ship more units within this variance, you keep the extras at no charge.
8. Color and sizing notes
8.1 We can match brand colors with Pantone callouts during proofing. Minor shade differences may occur between fabric lots.
8.2 Garment sizing can vary slightly by style and mill. Small variances are normal and not considered defects.
9. Cancellations
9.1 You may cancel before the physical pre production sample is created. Any design time or special material costs may be deducted from your refund.
9.2 After the sample is created, payments become nonrefundable.
9.3 After production begins, the full balance is due and the order cannot be canceled.
10. Intellectual property
10.1 All Benjamin Bowers designs, styles, and patterns remain the exclusive property of Benjamin Bowers, LLC.
10.2 Customer provided logos, trademarks, and brand assets remain the property of the Customer. The Customer grants Benjamin Bowers a nonexclusive license to use such assets only to produce and deliver the order.
10.3 The Customer represents that it has all necessary rights to use the submitted assets and agrees to indemnify Benjamin Bowers from claims arising from their use in fulfilling the order.
11. Portfolio use
11.1 Benjamin Bowers may display images of produced work in portfolios, case studies, and social channels. If your organization requires confidentiality, notify us in writing before payment and we will honor that request.
12. Warranties and disclaimers
12.1 Except as expressly stated in these Terms, products and services are provided as is and as available. We disclaim all implied warranties to the maximum extent permitted by law, including merchantability and fitness for a particular purpose.
13. Limitation of liability
13.1 Benjamin Bowers shall not be liable for indirect, incidental, special, exemplary, or consequential damages, including lost profits or business interruption.
13.2 Our total liability for any claim related to an order will not exceed the amount you paid for the specific goods or services at issue.
14. Indemnification
14.1 You agree to defend, indemnify, and hold harmless Benjamin Bowers from claims, damages, and expenses arising from your breach of these Terms, your misuse of the products, or infringement related to assets you provided.
15. Force majeure
15.1 We are not responsible for delays or failures caused by events beyond our reasonable control. Examples include supply chain disruptions, labor issues, natural events, epidemics, acts of government, or interruptions in transportation or utilities.
16. Governing law and venue
16.1 These Terms are governed by the laws of the State of Colorado without regard to conflict of law rules.
16.2 The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Denver, Colorado.
17. Conflicts and changes
17.1 If these Terms conflict with a signed quote or order form, the signed document controls for that order except where these Terms expressly state they govern.
17.2 We may update these Terms at any time. Changes apply to orders placed after the effective date. The version in effect at the time of your order governs that order.
